八、货物的验收；
自产品交货后三日内，买方应依照双方在本合同中约定的质量要求和技术标准，对产品的质量进行验收。验收不合格的，应即向卖方提出书面异议，并在提出书面异议后三日内向卖方提供有关技术部门的检测报告。卖方应在接到异议及检测报告后及时进行修理或更换，直至验收合格。在产品交付后三日内，卖方未收到异议或虽收到异议但未在指定期限内收到检测报告的，视为产品通过验收。

如买方指定由接货单位(人)接收货物，则买方同意对接货单位提出的接收、拒收、书面拒收意见等行为负责。
采用送货上门和自提方式交货的，在交付产品时，接货单位(人)应对产品品牌、规格型号、数量是否符合合同规定进行检查；对于符合合同规定的，接货单位(人)应当签收。对于不符合合同规定的产品，买方可以拒收，并书面说明拒收的理由。对于以送货上门方式交货，买方依照约定拒收的产品，需要由买方保管的，买方应负责保管。
采用代办托运方式交货的，买方对产品、规格型号、数量有异议的，应自产品运到之日起日内，以书面形式向卖方提出。
买方因使用、保管、保养不善等造成产品质量下降的，不得提出异议。
上述拒收或异议属于卖方责任的，由卖方负责更换或补齐。
十、合同的生效和变更：
本合同自双方签字盖章时生效，在合同执行期内，买卖双方均不得随意变更或解除合同，如一方确需变更合同，需经另一方书面同意，并就变更事项达成一致意见，方可变更。如若双方就变更事项不能达成一致意见，提议变更方仍应依本合同约定，继续履行，否则视为违约。
十三、争议的解决；

10、违约责任：
1）甲方应按双方约定的付款方式对乙方付款，若由于特殊原因甲方付款不及时，则乙方交货期限顺延。
2）若乙方未按约定日期交货，则每拖延一天支付合同总金额的0.5%违约金给甲方。
3）若乙方延期交货超过1月，甲方有权解除合同，乙方向甲方偿付合同部分总额30%的补偿金。
4）若遇人力不可抗拒的原因导致乙方交货延迟的，乙方须在事故发生后72小时内提供由事故发生地的权威部门出具的有效证明文件，则交货期可顺延，否则乙方还须承担责任。
5）若乙方所提供的产品未达到合同规定的质量要求，甲方有权随时解除合同，由此造成的损失乙方承担，并返还甲方支付乙方的所有款项。
11、其它约定：
1）乙方保证所从事的与本合同有关的商务活动须遵守国家有关法律、法规。否则出现的一切后果由乙方承担。
2）若在合同执行过程中发生纠纷，而双方经协商未果的情况下，可向签订地点所在的仲裁机构申请仲裁，其结果为最终结果，双方均受其约束并接受。
3）本合同具有独立性，不受其他因素影响。
4）本合同自甲方支付乙方预付款之日起生效。
12、未尽事宜，双方可另行协商并达成协议，该协议与合同具有同等法律效力。
13、本合同共肆份，甲、乙、双方各执贰份。

（15）装运通知：一件装载完毕，卖方应在____小时内电传/传真/电报买方合同编号、品名、已发运数量、发票总金额、毛重、船名/车/机号及启程日期等。
Shipping Advice: The sellers shall immediately upon the completion of the loading of the goods , advise buyers of the contract No., names of commodity , loading quantity , invoice values , gross weight , name of vessel and shipment date by TLX/FAX/CABLE within _____hours .
（16）质量保证：货物品质规格必须符合本合同及质量保证书之规定，品质保证期为货到目的港_____个月内，在保证期限内，因制造厂商在设计制造过程中的缺陷造成的货物损害应由卖方负责赔偿。
Guarantee of Quantity: The sellers shall guarantee that the commodity must be in conformity with the quality and specifications specified in this contract and Letter of Quality Guarantee .The guarantee period shall be months after the arrival of the goods at the port of destination , and during the period the sellers shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.
（17）检验与索赔：卖方须在装运前_____日委托 检验机构对合同之货物进行检验并出具检验证书，货到目的港后，由买方委托____检验机构进行复检。
如经中国_____检验机构复检，发现货物有损坏、残缺或品名、规格、数量及质量与本合同及质量保证书之规定不符，买方可于货到目的港后 天内凭上述检验机构出具的证明书向卖方要求索赔。如上述规定之索赔期与质量保证期不一致，在质量保证期限内买方仍可向卖方就质量保证条款之内容向卖方提出索赔。
Inspection and Claims: The sellers shall have the goods inspected by Inspection Authority days before the shipment and issued the Inspection Certificate . The buyers shall have the goods reinspected by Inspection Authority after the goods arrival at the destination.
The buyers shall lodge claims against the sellers based on the Inspection Certificate issued by China Inspection Authority Days after the arrival of the goods at the destination , if the goods are found to be damaged , missing or the specifications , quantity, and quality not in conformity with those specified in this contract and Letter of Quality Guarantee . In case the claim period above specified is not in conformity with the quality guarantee period, during the quality guarantee period, the buyers have rights to lodge claims against the sellers concerning the quality guarantee.
（18）不可抗力：如果卖方遇到人力不可抗拒事件，包括但不限于火灾、水灾、地震、台风、自然灾害以及任何其他卖方不能合理控制的任何意外事故和情况，阻止、妨碍或干扰了本合同的履行时，本合同规定的卖方履约时间应自动延长，其延长年时间应相当于因人力不可抗拒事件直接地或间接地使卖方不能履行本合同的时间。受不可抗力事件影响的卖方应在合理的时间内，用电报或电传将不
可抗力事件的发生通知买方，并于__个月内将有关当局出具的有关不可抗力事件的证明航寄买方。
如果不履约的情况延续达___天以上，双方应立即协商修改合同。若从不可抗力事件发生之日起___天内双方当事人未能取得双方满意的解决办法时，任何一方都可以终止履行本合同未执行部分。
Force Majeure: The time for the performance of the Seller’s obligations set forth in this Contract shall be automatically extended for a period equal to the duration of any nonperformance arising derecly or indirectly from Force Majeure events including but not limited to fire , flood , earthquake , typhoon , natural catastrophe ,and all other contingencies and circumstances whatsoever beyond the Seller’s reasonable control preventing , hindering or interfering with the performance thereof , The Seller so prevented by force majeure shall in reasonable time inform the Buyer by cable or telex of the occurrence of force majeure and within one month by air mail a relevant certificate issued by competent authorities as evidence thereof . If the nonperformance lasts for more than ___ (___) days ,the Parties shall immediately consult together in an effort to agree upon a revised Contract basis .If the Parties are unable to arrive at a mutually satisfactory solution within _____(___) days from the beginning of such force Majeure , then either of the Parties may terminate the Contract in respect of the unexecuted portion of the Contract .
（19）延期交货及罚款：除双方认可的不可抗力因素外，卖方迟于合同规定的期限交货，如买方同意迟延交货，卖方应同意对信用证有关条款进行个性和同意银行在议付货款时扣除本条规定的违约金。违约金总值不超过货物总价值的5%，差率按10天1%计算，不满10天仍按10天计算。在未采用信用证支付的情况下，卖方应将前述方法计算的违约金即付买方。
Delayed Delivery and Penalty: If the sellers fail to make delivery on time as stipulated in the contract , with exception of Force Majeure, the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the L/C and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . The penalty , however , shall not exceed 5% of the total value of the goods . The rate of penalty is charged at 1%for every ten days , if less that ten days. In case , the payment is not made through L/C , the sellers shall pay the penalty counted as above to the buyers as soon as possible.
（20）仲裁：凡执行本合同或与合同有关事项所发生的一切争执，应由双方通过友好方式协商解决。如果不能取得协议时，应提交中国国际贸易促进会委员会对外贸易仲裁委员会，根据该仲裁委员会的仲裁程序暂行规定进行仲裁，仲裁裁决是终局的，对双方都有约束力。仲裁费用除非仲裁另有决定外，均由败诉一方承担。
Arbitration: All disputes in connection with this Contract or the execution thereof shall be settled through friendly negotiations. If no settlement can be reached, the case shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade, Beijing, for settlement by arbitration in accordance with the Commission’s Provisional Rules of Procedure. The award rendered by the Commission shall be final and binding on both parties. The arbitration expenses shall be borne by the losing party unless otherwise award by the
arbitration organization.
